Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PanaCompass website, our guides and articles, our contact and enquiry forms, our advisory calls, and our introductions to third-party professionals (together, the "Service"). The Service is operated by the PanaCompass ("PanaCompass", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Who we are

PanaCompass is an independent editorial resource for people considering relocating to, investing in, or living in the Republic of Panama. We publish informational guides and articles, and we maintain a vetted network of independent third-party professionals (such as immigration attorneys, real estate agents, and financial or investment advisors) whom we may introduce to you.

PanaCompass is not a law firm, real estate brokerage, immigration agency, tax adviser, financial adviser, or broker-dealer. We do not provide legal, immigration, tax, financial, investment, or real estate advice, and nothing on the Service constitutes such advice or creates any professional or fiduciary relationship between you and us.

2. Eligibility

You must be at least 18 years of age and able to form a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that the information you provide to us is accurate and complete.

3. Nature of the Service; no professional advice

The content we publish is provided for general informational and educational purposes only. Laws, regulations, visa requirements, tax rules, market conditions, prices, and other information referenced on the Service change frequently and may be out of date, incomplete, or inapplicable to your particular circumstances.

You should not act, or refrain from acting, on the basis of any content on the Service without first obtaining advice from a suitably qualified and licensed professional in the relevant jurisdiction. Your reliance on any information on the Service is solely at your own risk.

4. Referrals and third-party professionals

A core part of the Service is introducing you to independent third-party professionals in our network. The following terms apply to those introductions:

  • They are independent. Professionals in our network are independent third parties, not employees, agents, partners, or representatives of PanaCompass. We do not control, supervise, or direct their work.
  • You contract directly with them. Any engagement, agreement, fees, services, advice, or transaction between you and a professional is solely between you and that professional. We are not a party to it.
  • Vetting is not a guarantee. While we apply a reasonable vetting and review process to professionals in our network, we do not warrant or guarantee the qualifications, licensing, availability, conduct, advice, work product, or outcomes of any professional. An introduction is not an endorsement, recommendation, or assurance of any particular result.
  • How we are paid. Where we earn revenue from the network, we are paid by the professionals (for example, through a flat listing, subscription, or introduction fee). We do not charge you a fee for an introduction.
  • Do your own due diligence. You are responsible for independently verifying the suitability, credentials, and licensing of any professional before engaging them.

5. Advisory calls and enquiries

We may offer free, no-obligation calls or respond to enquiries you submit through the Service. Any guidance provided during such a call or in response to an enquiry is general and informational in nature, is subject to the disclaimers in these Terms, and does not constitute professional advice.

6. Acceptable use

When using the Service, you agree not to:

  • use the Service for any unlawful, fraudulent, or harmful purpose;
  • submit false, misleading, or another person's information without authorization;
  • attempt to gain unauthorized access to, interfere with, or disrupt the Service or its underlying systems;
  • copy, scrape, harvest, or systematically extract content or data from the Service except as expressly permitted; or
  • use the Service to transmit spam, malware, or other harmful code, or to harass or abuse our team or the professionals in our network.

7. User submissions

When you submit information through a contact form, enquiry, or otherwise (a "Submission"), you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that Submission for the purpose of operating the Service, responding to you, and facilitating introductions. You represent that you have the right to provide any Submission and that it is accurate. Our handling of personal data is described in our Privacy Policy.

8. Intellectual property

The Service and all content we publish — including text, guides, articles, graphics, logos, and the compilation and arrangement of content — are owned by PanaCompass or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial use. You may not reproduce, distribute, modify, publicly display, or create derivative works from our content without our prior written permission.

9. Third-party content and links

The Service may contain links to, or content from, third-party websites and resources. We provide these for convenience only and do not endorse and are not responsible for the content, accuracy, products, or services of any third party. Accessing third-party sites is at your own risk and subject to their terms.

10. Disclaimers

THE SERVICE AND ALL CONTENT, INFORMATION, AND INTRODUCTIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENCY OF ANY CONTENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any information will be accurate or up to date. We are not responsible for the acts, omissions, advice, or services of any third-party professional.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PANACOMPASS OR ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY INTRODUCTION OR ENGAGEMENT WITH A THIRD-PARTY PROFESSIONAL, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless PanaCompass and its owners, directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your Submissions, your engagement with any third-party professional, or your breach of these Terms or any applicable law.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

14. Changes to the Service

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Changes are effective when posted. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. The provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

17. Governing law

These Terms and any dispute or claim arising out of or in connection with them or the Service are governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict-of-laws principles.

18. Dispute resolution

If a dispute arises between you and PanaCompass, you agree to first contact us and attempt in good faith to resolve the dispute informally. If we are unable to resolve the dispute within sixty (60) days of your written notice, the dispute will be submitted to the exclusive jurisdiction of the competent courts of the Republic of Panama, and you consent to the personal jurisdiction and venue of those courts.

19. General

  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and PanaCompass regarding the Service and supersede any prior agreements.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
